Terms of Service

Welcome to Waxu. These Terms of Service ("Terms") govern your access to and use of Waxu, a marketplace operated by Meija Media LLC ("Meija Media", "we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Who We Are

2. Eligibility

You may use the Service only if:

  • You are at least 16 years old,
  • You can enter into a binding contract with us, and
  • You are not barred from using the Service under applicable law.

If you use the Service on behalf of a business (for example, a record store), you represent that you have authority to bind that business to these Terms.


3. Your Account

To use certain features on Waxu (such as buying or selling), you must create an account and provide accurate information.

You agree to:

  • Keep your login credentials confidential.
  • Be responsible for all activity that occurs under your account.
  • Promptly update your information if it changes.

We may suspend or terminate your account if we believe you violate these Terms, any other policies we publish, or if we believe your use of the Service creates risk to us, to other users, or to the platform.


4. Marketplace Role

Waxu is a marketplace platform that connects buyers and independent sellers (record stores, individuals, etc.).

Unless explicitly stated otherwise:

  • Waxu does not own or control the products listed by sellers.
  • Waxu is not the seller of record for items offered by third-party stores.
  • The contract of sale is between the buyer and the seller, not between the buyer and Waxu.

We provide tools for listing, discovery, checkout, and communication, but we are not a party to individual transactions and we do not guarantee the quality, safety, legality, or accuracy of any listing or product.


5. Listings, Stores, and User Responsibilities

5.1 Sellers and Stores

If you create a store or list products for sale, you must comply with our Seller & Store Terms (which are incorporated into these Terms by reference).

In particular, you agree that:

  • You have the legal right to sell the items you list.
  • Your descriptions, photos, audio/video samples, and other metadata are accurate and not misleading.
  • You will comply with applicable laws and regulations, including those related to consumer protection, product safety, and taxes.

We may remove or edit any listing, or limit, suspend, or terminate your store, if we believe your activity violates our policies or harms the platform or other users.

5.2 Prohibited Activities

You agree not to:

  • Use the Service to list or sell illegal items, stolen goods, or items that infringe third-party rights (e.g. counterfeit or unauthorized recordings, bootlegs where prohibited by law, unlicensed merchandise).
  • Engage in fraud, money laundering, or other illegal activities.
  • Circumvent our fees, technical protections, or account limits.
  • Harass, threaten, or abuse other users, or encourage others to do so.
  • Scrape or attempt to systematically extract data from the Service without our written permission.

6. Payments, Fees, and Payouts

Buyer payments and seller payouts on Waxu are handled by third-party payment and payout providers, including PayPal for buyer payments and Trolley for eligible seller payouts. Stripe may process legacy, backup, or other specifically enabled transactions. These providers are collectively called "Payment Processors." By making or receiving payments, you also agree to the applicable Payment Processor's terms and privacy policies.

  • Buyer charges: When you purchase an item, your payment method is charged for the item price, shipping, and any taxes, duties, or other charges that are actually calculated and shown at checkout.
  • Seller payouts: Sellers receive payouts through the applicable payout provider, net of Waxu's platform fees and any disclosed provider, network, currency-conversion, withholding, or other applicable charges or adjustments.
  • Platform fees: We may charge commissions, listing fees, or other platform fees. We will disclose these separately and may update them from time to time.

Where permitted by law and Payment Processor rules, we may place holds on funds, issue full or partial refunds, reverse or adjust seller transfers, refund or retain marketplace fees, create or collect a negative seller balance, and recover amounts from future payouts. We may do so for buyer-requested or seller-approved resolutions, fraud or duplicate payment, non-shipment, material listing problems, chargebacks, legal requirements, or violations of our agreements.

For a normal seller-approved refund, we ordinarily return the proportional Waxu marketplace fee to the seller. Original PayPal, Stripe, or other payment-processing fees may be nonrefundable. For a seller-caused or administrator-enforced refund, we may retain or recover marketplace fees when that treatment is shown and recorded with the refund decision.


7. Shipping, Returns, and Refunds

7.1 Shipping

For orders placed through Waxu:

  • The seller is responsible for shipping, packaging, and delivery.
  • Sellers must ship items and provide valid tracking information within 10 days of the buyer's order being placed, unless a different timeframe is clearly stated in the listing and agreed to by the buyer.

If a seller repeatedly fails to ship on time, does not provide tracking information, or appears not to ship at all, we may, at our discretion, suspend or permanently ban the seller and/or their store.

7.2 Returns, Refunds, and Order Cases

If you have a problem with an order, use the order-support tools to identify the affected items, describe the problem and requested result, and provide relevant evidence. The seller may approve or decline the request, require a tracked return, offer another lawful resolution, or issue an explicit full or partial refund.

A seller's displayed policy applies only to the extent consistent with our policies and applicable law. It cannot waive mandatory consumer rights or prevent us from enforcing marketplace rules.

Meija Media may review a case and issue or require a full or partial refund without seller approval when reasonably necessary to comply with law, address fraud or duplicate payment, correct non-shipment or a material listing problem, protect users or the marketplace, respond to a payment dispute, or enforce our agreements. A request does not guarantee a refund unless applicable law requires one.

Refunds are sent to the original payment method. PayPal, Stripe where applicable, and the buyer's bank or payment provider control posting time. The decision may allocate item price, original or return shipping, taxes, duties, and import fees according to the reason, amounts recoverable from third parties, the seller's lawful policy, and applicable law. International refunds may require additional duties-and-tax reconciliation.

Users must not seek duplicate recovery through both Waxu and a bank dispute, carrier claim, insurance claim, or another reimbursement source for the same loss. Refer to our Refunds, Returns & Shipping Policy for the full process.

7.3 Case Evidence

By submitting an order request or response, you authorize us to store and review relevant case information and to share it with the buyer, seller, Payment Processor, duties-and-tax provider, carrier or fulfillment provider, professional advisers, or authorities as described in our Privacy Policy. Do not submit complete payment-card numbers, passwords, government identifiers, or unrelated sensitive information.


8. User Content

"User Content" means any content you upload or submit to the Service, including but not limited to: listings, store pages, descriptions, photos, audio/video previews, reviews, messages, and other materials.

By submitting User Content, you represent and warrant that:

  • You own or control the necessary rights to that content.
  • The content does not infringe or violate any third-party rights (including copyright, trademark, privacy, or publicity rights).
  • The content does not violate any laws or these Terms.

You grant Meija Media LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, distribute, publicly display, and otherwise exploit your User Content in connection with operating, improving, and promoting the Service.

We may remove or modify User Content at any time if we believe it violates law, these Terms, or our policies, or if we receive a valid complaint (for example, a copyright or trademark claim).


9. Intellectual Property

The Service (including the site design, software, code, interfaces, graphics, logos, and other original content created by or for Waxu or Meija Media) is owned by Meija Media LLC or its licensors and is protected by intellectual property laws.

Except as expressly allowed by these Terms, you may not:

  • Copy, modify, distribute, sell, or lease any part of the Service or Waxu Content.
  • Reverse engineer or attempt to extract the source code of any software used in the Service (except to the extent such restrictions are prohibited by law).

You may not use the Waxu or Meija Media names, logos, or branding without our prior written permission.


10. Third-Party Services and Links

The Service may link to or integrate with third-party websites, services, or resources (such as payment processors or analytics providers). We do not control, and are not responsible for, third-party content, products, or services.

Your use of any third-party service is at your own risk and is subject to that third party's terms and policies.


11. Termination

We may suspend or terminate your account or access to the Service, or remove any content, at any time and for any reason, including if we believe:

  • You violated these Terms or other policies,
  • You engaged in illegal or fraudulent activity, or
  • Your use of the Service may cause harm or legal exposure to us or others.

You may stop using the Service at any time and may request account deletion as described in our Privacy Policy.

Certain provisions of these Terms will survive termination, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution.


12. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express or implied.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free.
  • Listings and User Content are accurate, complete, or reliable.
  • Transactions between users will be successful, timely, or free of problems.

You use the Service at your own risk.


13. Limitation of Liability

To the maximum extent permitted by law:

  • Meija Media LLC and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, goodwill, or other intangible losses arising out of or related to your use of (or inability to use) the Service.
  • Our total aggregate liability for all claims relating to the Service will not exceed the greater of:
  • (a) the amounts you paid us in platform fees (if any) in the three (3) months immediately prior to the event giving rise to the claim, or
  • (b) USD $100.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.


14. Indemnification

You agree to indemnify and hold harmless Meija Media LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service,
  • Your violation of these Terms or any other policies,
  • Your violation of any rights of a third party, including other users and intellectual property owners.

15. Changes to the Service and Terms

We may modify, suspend, or discontinue all or part of the Service at any time.

We may also update these Terms from time to time. When we do, we will update the "Last updated" date and, where required, provide notice of material changes. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.


16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict of laws principles.

Any disputes arising from or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Multnomah County, Oregon, except where applicable law requires otherwise.
