Seller & Store Terms

These Seller & Store Terms ("Seller Terms") apply in addition to the Waxu Terms of Service when you create a store or list items for sale on Waxu. Waxu is operated by Meija Media LLC ("Meija Media", "we", "us").
By creating a store or listing items for sale, you agree to these Seller Terms.
1. Becoming a Seller
To operate a store or sell items on Waxu, you must:
- Have a valid Waxu account in good standing.
- Provide accurate store information (store name, location, contact details).
- Complete any payment or payout setup required by our providers, including Trolley recipient onboarding where offered.
- Comply with these Seller Terms and the main Terms of Service.
You are responsible for all activity that occurs under your store.
2. Compliance with Laws
As a seller, you are solely responsible for:
- Complying with all laws and regulations that apply to you and your business, including those related to:
- Consumer protection and distance selling,
- Product safety,
- Taxes, customs, and duties,
- Import/export, and
- Any licensing requirements.
- Ensuring that you are legally permitted to sell the items you list.
Meija Media does not provide legal or tax advice.
3. Prohibited and Restricted Items
You may not list or sell:
- Stolen goods or items you do not have the right to sell.
- Items that infringe intellectual property rights (e.g. counterfeit records, unauthorized bootlegs where prohibited by law, unlicensed merchandise).
- Items that are illegal or restricted under applicable law.
- Items that violate our content or community standards.
We may remove listings or suspend or permanently ban stores that violate these rules.
4. Listings, Descriptions, and Images
You agree to:
- Provide accurate and non-misleading descriptions of your items, including:
- Artist, title, label, format, and condition (media and sleeve) where known.
- Disclose material defects or issues (e.g. warped vinyl, heavy scratches, writing on cover).
- Use photos that reasonably reflect the actual item being sold. You must have the rights to use any images, artwork, or logos you upload.
We may use your listing metadata and images to improve search, recommendations, and features such as AI-assisted descriptions or 3D views.
5. Pricing, Shipping, and Taxes
You set your own prices, but you agree to:
- Honor the price and terms displayed to the buyer at checkout.
- Clearly state shipping costs and any limitations or surcharges before purchase.
- Bear responsibility for your own tax obligations.
You are responsible for:
- Determining whether taxes (such as sales tax, VAT, or customs duties) apply to your sales,
- Charging and remitting those taxes as required by law.
If we introduce tax-related tooling later, it will not be guaranteed to be accurate and will not replace advice from a tax professional.
6. Shipping Obligations and Tracking (IMPORTANT)
When a buyer places an order from your store:
- Shipment deadline:
- You must ship the order within the handling time stated on your listing and, in any case, no later than 10 days from the time the order is placed, unless you and the buyer explicitly agree to a different timeframe.
- Tracking requirement:
- You must provide valid tracking information within 10 days of the order being placed, or as soon as tracking is available.
- Tracking should reasonably allow the buyer to follow the shipment's progress.
- Failure to ship or provide tracking:
- If you fail to ship items, provide tracking, or repeatedly ship excessively late, we may:
- Cancel orders,
- Limit or hold payouts, and/or
- Suspend or permanently ban your seller account and store from the platform.
- Packaging:
- You must package items securely to reduce the risk of damage in transit (for example, using record mailers, proper padding, etc.).
7. Returns, Refunds, and Disputes
7.1 Seller Policy and Buyer Requests
- You must clearly publish your return, refund, and cancellation policy and keep it accurate.
- Your policy applies only to the extent consistent with Waxu policies and applicable law. It cannot waive mandatory consumer rights or prevent Waxu from enforcing marketplace rules.
- A buyer may open an order-support request, identify affected items, request a cancellation or return, report damage, non-delivery, or a material listing problem, and provide evidence.
7.2 Seller Decisions
You agree to:
- Review requests and respond within a reasonable time.
- Approve or decline the request in good faith and explain a denial.
- State an exact amount before issuing a full or partial refund.
- Provide return instructions, a reasonable deadline, and any return-shipping responsibility required by your policy, the case decision, or law.
- Preserve relevant order, shipment, communication, and return records.
Failure to reasonably address repeated issues may result in warnings, restrictions, or removal from the platform.
7.3 Waxu Review and Forced Refund Authority
You authorize Meija Media to review an order case and issue or require a full or partial refund without your approval when we reasonably determine it is necessary to comply with law, address fraud or duplicate payment, correct non-shipment or a material listing problem, protect a buyer or the marketplace, respond to a payment dispute, or enforce our agreements.
You authorize Meija Media and the Payment Processor to implement that decision by refunding the buyer, reversing all or part of a transfer to your connected account, adjusting your connected-account balance, creating a negative balance, debiting an available balance where permitted, or recovering the amount from future payouts. You must cooperate with requests for records or evidence and must not attempt to defeat an authorized refund by withdrawing or moving funds.
7.4 Fees, Shipping, Duties, and Taxes
- For a normal seller-approved refund, Waxu ordinarily returns the proportional Waxu marketplace fee to you.
- Original PayPal, Stripe, or other payment-processing fees may be nonrefundable and may remain your responsibility where permitted.
- For a seller-caused or administrator-enforced refund, Waxu may retain or recover marketplace fees when the treatment is clearly shown and recorded with the decision.
- A platform-funded refund uses Meija Media's platform balance and does not return a Waxu marketplace fee to you.
- The refund decision may allocate item price, original outbound shipping, return shipping, taxes, duties, customs amounts, and import fees based on the reason, applicable law, your disclosed policy, and amounts recoverable from third parties.
- International orders may require cancellation or reconciliation with our duties-and-tax provider. You must cooperate and provide customs, carrier, or broker records when requested.
7.5 Refund Timing and Duplicate Recovery
Refunds are sent to the buyer's original payment method. PayPal, Stripe where applicable, and the buyer's financial institution determine when the credit appears. You may not offer or send an overlapping off-platform reimbursement without recording it in the case, and you must promptly report a possible duplicate refund, chargeback, carrier payment, or insurance recovery.
8. Payouts, Fees, and Adjustments
Waxu may charge platform fees (for example, commissions or listing fees) on sales made through the Service. We will disclose applicable fees separately and may update them from time to time.
Payouts:
- Are handled by our payout provider (including Trolley where offered) and may be subject to provider, network, currency-conversion, withholding, or other disclosed fees, rules, minimums, and payout schedules.
- May be delayed, withheld, offset, or reversed for refunds, returns, disputes, chargebacks, suspected fraud, legal obligations, negative balances, or policy violations.
We may offset amounts you owe us, including refunds, nonrefundable processing fees, retained or recovered marketplace fees, chargeback amounts, and related costs, against your connected-account balance or future payouts as permitted by law and Payment Processor rules.
9. Store Branding and Conduct
You may be able to customize your store's presentation (e.g. store name, profile picture, banner, description). You agree that:
- Your store name and branding must not:
- Infringe others' trademarks,
- Mislead users into thinking you are another business, or
- Falsely imply endorsement or affiliation with another company or artist.
- You will treat buyers and other users respectfully, and you will not harass or abuse them.
We may edit or remove store branding that we believe is misleading, infringing, or harmful, and we may suspend or terminate stores that engage in abusive or deceptive behavior.
10. Suspension and Permanent Bans
We may, at our discretion, limit, suspend, or permanently ban your store or seller account if we believe, for example, that:
- You repeatedly fail to ship orders or provide tracking within required timeframes,
- You do not fulfill orders at all,
- You engage in fraud or serious policy violations, or
- Your conduct causes significant harm or risk to buyers, the platform, or the broader community.
In severe cases, we may act without prior notice, especially where there is potential for fraud, non-shipment, or ongoing harm.
11. Relationship Between You and Meija Media
You and Meija Media are independent contracting parties. These Seller Terms do not create a partnership, joint venture, employment, or agency relationship.
You do not have authority to bind Meija Media or act on our behalf, and Meija Media does not control your business, inventory, or pricing decisions.
12. Changes to These Seller Terms
We may update these Seller Terms from time to time. When we do, we will update the "Last updated" date and, where required, provide notice of material changes.
Your continued operation of a store or listing of items for sale after the changes become effective constitutes your acceptance of the updated Seller Terms.
